Business legal form after corporate reform
The choice of legal form determines who owns the business, how decisions are made, who represents the company, how an investor is admitted and how the owner can transfer an interest. For a new project, these parameters should be agreed before registration.
For an existing private or other enterprise, the constitutional documents, assets, participants and contracts are reviewed first, after which a workable transition option is selected.
What does the name "private enterprise" mean?
In previous years, the private enterprise was widely used as a separate organisational and legal form. Its charter could provide for one or several founders, a special governance procedure and the allocation of property. Because documents were drafted in different versions, two companies using the same form name may have different corporate rules.
Law No. 4196-IX established transitional regulation for legal entities of certain forms following the repeal of the Commercial Code. A decision is made under the current version of the law and the documents of the specific company. The owner needs to assess which actions are available, which deadline applies to the situation and how to preserve continuity of contracts, rights and permits.
New company or transformation of an existing one
For a new small or medium-sized business, a limited liability company is often selected. Law No. 2275-VIII governs its formation, articles, interests, contributions, governing bodies, dividends and transfer of corporate rights. The company may operate under the model articles or an individual document that more precisely reflects the participants' arrangements.
Establishing a new LLC is appropriate when a separate product is being launched, a clean corporate structure is required, or the previous enterprise is completing operations. Transformation or another reorganisation action may be useful where it is important to preserve assets, contractual relationships, staff and continuity of operations. The decision depends on the asset composition, licences, creditors, taxes and legal succession.
Parameters of the future structure
- number of participants, size of interests and contribution procedure;
- sole director, collective governing body or supervisory board;
- matters requiring a qualified majority or unanimity;
- restrictions on transfers of interests, pre-emption rights and participant exit;
- rules for financing, profit distribution and major transactions;
- investor protection, succession and business-transfer planning.
The standard model articles are not suitable for every project. If participants contribute different resources, plan to admit an investor, use joint management or require special exit terms, individual articles and, where appropriate, a shareholders' agreement should be prepared. The documents should support the actual arrangement rather than merely pass registration.
Audit of an existing enterprise
Before changing the legal form, a corporate file is compiled: the charter and all amendments, founders' resolutions, Unified State Register information, ownership structure, rights to real estate and equipment, licences, key contracts, loans, security, and tax and financial reporting. Court and enforcement proceedings, employment relations and outstanding settlements are checked separately.
The audit result shows which assets and obligations transfer, which documents require counterparty approval, whether the permit status changes and who signs the decision. Contractual approvals are considered for encumbered assets or assets financed by a creditor. For an international group, the review additionally covers non-resident owners, translations and the tax model.
Registration procedure
Law No. 755-IV governs state registration of legal entities and changes to Unified State Register information. Before filing, the resolution of the authorised body, constitutional document where required, ownership structure, participant documents and other evidence for the relevant action are prepared. The applicant's and signatory's authority is checked before certification and filing.
After the entry is made, the name, legal form, address, director, restrictions, participants and beneficial owners are reconciled. The next stage covers the bank, contracts, electronic signatures, accounting, HR documents and licences. A single calendar helps complete the change without a break in management.
Corporate work after the transition
The updated form operates through properly documented decisions. The company maintains a register of corporate documents, controls terms of authority, retains evidence of contributions, documents dividends and major transactions, and updates powers of attorney and bank data. For several participants, a meeting calendar and a list of matters requiring a special majority are useful.
If the owner is preparing an investment or sale, the corporate file should allow a buyer to confirm rights to interests and assets quickly. Consistent documents improve business controllability and simplify review by a bank, auditor or partner.
Assets and legal succession
For an enterprise whose property was previously accounted for under a special regime, the legal basis for ownership of each material asset is determined. Real estate, land, vehicles, equipment, intellectual property, permits and contractual rights are checked. The balance sheet confirms accounting treatment, while the register or primary document confirms the right and method of acquisition.
During a transformation, a transfer package of documents is compiled and the successor is identified. Contracts are reviewed for provisions on reorganisation, notice, consent and changes of details. Creditors and chargeholders are taken into account under law and contract. For employees, an HR sequence is prepared to support continuity of work and proper accounting.
Tax and banking model of the transition
Corporate form is linked to tax status, but a change of name alone does not determine all consequences. The specialist compares the transaction with corporate income tax, VAT, asset accounting, capital contributions, settlements with participants and the reporting period. Opening balances and primary documents are prepared for the registration date so that accounting can record the next stage consistently.
The bank receives an explanation of the purpose of the change, the resolution, current ownership structure, Unified State Register extract, articles and documents of new signatories. Questionnaires, authority, qualified electronic signatures and expected transactions are updated. The payment process is planned together with the corporate calendar, and the responsible person retains evidence of each completed action.
Comparison of options for the owner
| Question | New LLC | Transition of an existing enterprise |
|---|---|---|
| Purpose | Separate clean project | Continuation of established activity |
| Assets | Transferred through separate actions | Assessed within legal succession |
| Contracts | Entered into or transferred | Conditions for continuation are checked |
| Permits | Obtained for the new entity | The procedure for retaining or renewing them is checked |
| Bank | New client file | Updating the profile and signatories |
| Corporate documents | Created for the future model | Begin with an audit of previous decisions |
The table is an initial framework. The actual choice may combine two options: a new company takes over a separate business line while the previous entity completes contracts or undergoes transformation. UBC structures assets, operations and timeframes so that the arrangement supports the owner's commercial objective.
Documents for approving the selected option
Before the registration action begins, the parties also determine which contracts require consent, notice or substitution of a party. For each contract, the counterparty, term, reorganisation or change-of-control provision, responsible manager and desired communication date are recorded. This helps preserve commercial relationships and document matters in time.
The asset schedule combines the title document, balance-sheet data, registration number, physical location and encumbrances. A separate transfer action is determined for equipment, real estate, intellectual property and receivables. Once completed, the responsible person adds the evidence to the consolidated corporate file.
The final calendar covers not only state registration but also the accounting date, execution of transfer documents, updating electronic keys and notices to employees and counterparties. Management sees the transition sequence and the point from which the new structure fully supports operations. The document remains the working basis for the first reporting period.
On completion, the owner receives an aligned corporate file and a list of the next control dates for management.
The owner's decision is documented by more than minutes. The corporate package includes the structure before and after the changes, a schedule of assets and contracts, a legal-succession map, registration calendar and list of notices. If a participant or asset owner is a non-resident, documents from the foreign jurisdiction, translation, legalisation and signatory authority are determined in advance.
Draft documents are reconciled with Unified State Register information, accounting records and actual management. The authority name, interests, address, director and representation procedure should be consistent in the resolution, articles, application, power of attorney and bank questionnaire. After registration, the team checks the result and provides updated data to all process owners.
Completion criteria are established for the project: register entry, documented property right, updated contract, bank-accepted file, valid permit document and informed team. The owner receives a consolidated package and a calendar of subsequent corporate actions. This turns the choice of legal form into a foundation for further development.
