HOW TO START A BUSINESS IN UKRAINE
Starting a business in Ukraine means choosing the form of operation, owners, taxes, contracts and the way money will be received from clients. Registration of a sole proprietor or LLC is only part of this work.
The owner should immediately choose a structure that can sell goods or services, hire people, keep accounts and generate profit.
Sole Proprietor or LLC: What the Owner Chooses
A sole proprietor is suitable for an entrepreneur who works personally, has a clear type of activity and wants simpler accounting. An LLC is useful where there are several owners, a hired director, significant contracts, an investor, separate company property or a need to build a business that can be sold or transferred to another owner.
The owner chooses the tax system together with future income and expenses. The type of activity, clients, VAT, salaries, imports or exports, planned revenue and cost structure all matter. The tax model should leave the business with profit and be convenient for contracts with clients.
For an LLC, the owners determine their shares, the director, voting procedure and rules for signing important contracts. If the structure is simple and meets the conditions of the government service, an LLC under the model charter can be registered through Diia. In 2026, the official service provides for automatic registration in approximately one minute for applications meeting the established conditions, or review by a state registrar within one working day.
For an ordinary LLC, the law does not establish a minimum charter capital. The owners determine its amount and their shares themselves. What matters more to the business is that agreements on contributions, voting, sale of a share and appointment of the director correspond to the real relationship between the partners. This is especially important where there are two or more owners.
Contracts, Money and the First Sales
Before registration, it is useful to know to whom the entrepreneur will sell the goods or service and how the client will pay. One set of contractual and tax terms is needed for work with Ukrainian companies and another for exports. Cash, card, bank transfer or payment-service settlements also affect accounting and documents.
The director of an LLC enters into contracts on behalf of the company within the director's authority. A sole proprietor enters into contracts personally as an entrepreneur. Before the first sale, the price, payment procedure, deadlines, responsibility of the parties and documents confirming performance of the transaction should be clear.
If the business needs premises, a warehouse, shop, restaurant, office or production site, the owner separately checks the right to use the location, technical requirements and rules for the specific type of activity. This decision is made for the real business: shop, restaurant, office, warehouse, production or another specific activity.
Bank details, online acquiring or another method of accepting payments are chosen for the clients and type of sales. A retail shop, restaurant, online service and B2B consultancy need different payment methods and primary documents. The owner immediately sees how money from the buyer enters the accounting records and which document confirms the sale.
A Start That Can Generate Profit
A sole proprietor is registered in Diia automatically and free of charge; the official service states a time of up to one minute after the signed application is submitted. For an LLC under the model charter, the online application is also free, and the system can simultaneously transfer information about the selected tax system. These timeframes are useful when the owner needs to start sales quickly.
UBC helps the entrepreneur choose the form of operation, tax system, corporate rules and documents for the first contracts. The client receives a registered sole proprietor or LLC, a clear procedure for signing contracts and a list of the next actions required specifically for the client's type of business.
A proper start saves money on later changes. If the ownership structure, taxes and contracts correspond to real sales, the owner can focus on clients, staff and profit instead of reworking documents after the first transactions.
The cost of starting consists of registration and support work, an address or premises, accounting, banking services, cash-register equipment or software, salaries and other expenses specific to the business. It is useful to calculate them before the first contract. The owner then understands what sales volume will cover fixed costs and from what revenue level the business will begin to generate profit.
