Business-registration documents depend on what the entrepreneur is establishing: a sole proprietorship, LLC or another legal entity. For a sole proprietor, personal data, activities and the tax decision are sufficient.
For an LLC, the owners additionally determine the equity interests, director, address, charter and ultimate beneficial owners. Properly prepared information allows the business to move directly to the bank account, accounting and contracts once the entry is made in the Unified State Register.
Owner's Documents and Information About the Future Business
An individual uses passport and tax data, contact information and an electronic signature where the application is filed online. For a foreign national, the lawyer checks the document, translation and method of certification applicable to the particular country. The name and other personal details must be written consistently in all documents.
Before filing, the owner defines how the business will earn money: which goods or services it will sell, who the customers will be, whether employees, imports or exports are required. KVED activity codes and the tax regime are selected on that basis. The principal KVED should correspond to the main source of income and additional codes to the actual activities the owner intends to use.
Ordinary business activities generally do not require separate permits or licences. Special requirements are checked only for regulated activities. It is useful to do this before registration so that the owner understands the actual sales start date and any additional costs from the outset.
The choice between a sole proprietorship and an LLC depends on scale and the way the business earns money. A sole proprietorship is convenient for one entrepreneur carrying on personal business with simpler management. An LLC is appropriate where there are several owners, material contracts, employees, property or a future investor. What Is Required for a Sole Proprietorship and What Is Required for an LLC
Registration of a sole proprietor is built around the entrepreneur's own data, selected activities and tax regime. The entrepreneur files the application and, after registration, opens a business account, organises income records and prepares contracts for the activity. Share capital and corporate documents relate to an LLC rather than a sole proprietorship.
For an LLC, the owners prepare the incorporation resolution, appoint the director, determine equity interests and capital, select a model or bespoke charter and provide information on the ownership structure and ultimate beneficial owners. If there are several participants, it is useful to agree voting, transfer of interests and company-financing arrangements before registration.
The address should be suitable for official communication with the company. The owner retains the document establishing the right to use the premises where it is needed for the bank or business activity. State registration follows the requirements of Law No. 755-IV and the relevant registration form.
For an LLC, information on the ultimate beneficial owner must reflect the actual control structure. If a participant is another legal entity, the owner prepares documents through the entire chain to the individual exercising ultimate control. The same information is later used during the bank's review of the company.
After Registration: Bank Account, Accounting and First Contracts
The entry in the Unified State Register confirms establishment of a sole proprietor or legal entity, but the owner still needs to organise operations. The LLC director opens an account, provides registration data to the accountant, identifies persons with electronic signatures and approves documents for sales and procurement. A sole proprietor performs the same commercial tasks in their own name.
A bank usually asks for an explanation of the activity, expected turnover, customers, suppliers and source of start-up funds. Registration data, website, contracts and the bank questionnaire should therefore describe the same business. For international payments, the owner also prepares documents about counterparties and the subject matter of future transactions.
