MODEL ARTICLES OF ASSOCIATION FOR AN LLC 2025. ONLINE LLC REGISTRATION IN UKRAINE | UBC PJSC

Model Articles of Association for an LLC and online company registration in Ukraine in 2026

The Model Articles of Association allow an LLC to be registered without preparing a separate bespoke charter, by selecting the corporate provisions offered by the state. For a straightforward business with a clear ownership structure, this shortens the process from the founders' decision to entry in the Unified State Register.

How to Start Business in UkraineOverview for companies

The decision involves the founders, the future director, the accountant and, where an investment model is used, a lawyer or corporate adviser. Before filing, the parties agree the ownership interests, contributions, activities, management method and authority of the signatories.

When the service is needed

The owner should assess not only the speed of registration, but also whether the model provisions are sufficient for voting arrangements, appointment of the director, dividend payments, withdrawal of a participant and investor protection. Convenient registration should fit the company's future governance.

For the owner, it is important to link LLC registration under the Model Articles of Association with the financial model, contractual framework and launch schedule. A formal action should deliver a clear commercial result: the right to operate, raise finance, enter into contracts, pass bank checks or start a project without a gap between the documents and the actual business activity.

The work starts by defining the scope of the task. UBC analyses the initial information, separates mandatory actions, internal decisions and counterparties' documents, and then sets out a process appropriate to the scale of the project and the model for creating and launching the limited liability company.

What has changed in the procedure

In previous years, founders usually prepared their own charter, minutes and registration forms and filed the documents with the state registrar. Even a standard structure required a separate file and notarisation of certain actions.

In 2026, an LLC can be registered through Diia on the basis of the Model Articles of Association, with the available provisions selected and tax-system information submitted at the same time. Registration may be completed automatically or with the involvement of a state registrar.

Digitalisation has reduced some technical operations but increased the importance of high-quality source data. Registers and electronic accounts compare information more quickly, so the company name, powers, addresses, activity codes, financial indicators and project documents should be aligned before filing.

Comparing the previous and current procedures helps preserve terms familiar to the market while showing which document, registration number, decision, notice or register entry confirms lawful activity in 2026.

Comparison of approaches: previously and in 2026

How matters were documented and controlled previouslyPractice in 2026
A separate charter text was prepared for each company.The Model Articles of Association and the state-provided alternatives for individual provisions can be selected.
Documents were filed with the registrar in paper form.The application and decision are generated online and signed electronically.
Tax status was arranged through separate actions.The service allows the general or simplified tax system and VAT parameters to be specified.
The registrar manually checked each document package.Automatic registration is available where the conditions are met.
Changes required a new version of the bespoke charter text.Selected provisions are changed through the prescribed registration procedure.
The charter was often treated as a formality after registration.Corporate settings are linked to governance, banking and investment.

Sequence and main stages of the service

The work is best organised in stages. This allows the commercial objective, document package and responsibilities of the participants to be agreed in advance and the result to be controlled at each stage.

  1. identify the participants, the size of their ownership interests and the procedure for making contributions;
  2. check whether the available Model Articles provisions are suitable for the future governance system;
  3. select the director, activity codes, address and tax model;
  4. prepare electronic signatures and identification details of the participants;
  5. complete the application in Diia and check the decisions generated by the system;
  6. after registration, open a bank account, formalise employment arrangements and start accounting;

Each stage ends with a result that can be verified: an agreed decision, a filed package, a registration number, an extract, a permit, a registered issue or other confirmation appropriate to the service. This control allows the next stage of creating and launching the limited liability company to begin without losing the commercial logic of the project.

What is needed to start work

For an initial assessment, there is no need to collect every possible document. It is enough to prepare the information needed to identify the applicable procedure and draw up an accurate list of the next actions:

  • passport and tax details of the founders and director;
  • information on ultimate beneficial owners and the ownership structure;
  • company name, registered location and planned activities;
  • amount of share capital, ownership interests and deadlines for contributions;
  • selected provisions of the Model Articles of Association and the decision-making method;
  • decision on the tax system and VAT registration, where required;

Where some documents are held by a bank, depositary, premises owner, designer, auditor, foreign participant or public authority, this is recorded separately in the working list. Requests can be sent in parallel so that the entire timetable does not depend on a single source.

Service specifics and organisational matters

Even where filing is online, the main work remains managerial. The company needs to appoint responsible persons, agree the source data and ensure consistency among the documents submitted to the registrar, bank, regulator or counterparty.

LLC registration under the Model Articles of Association usually involves management, accounting, legal, technical or finance teams. Their decisions should be based on one set of source data and an agreed version of the documents.

A risk arises when the Model Articles are chosen solely for speed but the business actually needs special rules: an investor veto, a supervisory board, complex transfers of ownership interests, options or a special withdrawal procedure. It is less expensive to define such parameters before registration.

It is useful to maintain a register of control points: what has been approved, who signed it, when it was filed, which number was assigned, where the electronic original is stored and who is responsible for the next deadline. For longer processes, a calendar of reporting, updates and change notifications should be maintained.

  • verification of the result in the Unified State Register;
  • consistency of the director's authority in the register, at the bank and in contracts;
  • control of deadlines for participants' contributions;
  • maintenance of minutes and decisions in accordance with the selected provisions;
  • assessment of whether the company should move to bespoke Articles of Association as it grows;

What you receive as a result

A proper result for the owner is not a separate certificate or a system entry, but the ability to carry on the chosen activity lawfully and predictably, enter into contracts, receive payments and confirm the company's status to partners.

The working result is a registered LLC with a clear governance system, ready to open a bank account, enter into contracts and carry on its chosen activities.

Once the formalities are completed, the company has a working foundation for creating and launching the limited liability company: staff understand the sequence of actions, documents are available for review, and the owner can see how the legal and administrative arrangements support sales, settlements, finance and project development.

Materials and provisions published previously

In previous years, founders prepared a separate charter for the company, agreed its wording and filed it with the registration package. Legislation later introduced a multi-option Model Articles framework: founders can select state-provided provisions on contributions, voting, the executive body, dividends, withdrawal of a participant, significant transactions and other corporate matters. Information on the selected version is generated during state registration, and the company operates under the Model Articles without approving its own separate text.

In 2026, an LLC operating under the Model Articles can be registered online through Diia. The founders complete the form, select provisions or the default version and sign the application with qualified electronic signatures. The system generates the application, the founder's decision or meeting minutes, the Model Articles and the ownership-structure document. Where the information required for automatic verification of beneficial owners is available, the entry may be made automatically; otherwise, the electronic package is processed by a state registrar.

Before completing the application, it is advisable to agree the name, address, activities, tax system, participants, ownership interests, contributions, manager, ownership structure and information on ultimate beneficial owners. It should also be checked separately whether the Model Articles options fit the future governance system and the partners' arrangements. A bespoke charter may be preferable for an investment company, an option-based model, special veto rights or a complex procedure for transferring an ownership interest. A UBC specialist aligns the corporate model with the registration process, tax registration, banking launch and future contracts.
