Opening a car dealership in Ukraine: not one licence, but a set of procedures
The earlier overview presented the opening of a car dealership as a standard permitting service. In fact, there is no single universal licence for the sale of cars.
The legal model depends on whether the company sells new or used vehicles, imports them itself, operates as a dealer, accepts vehicles on commission, or provides servicing and credit-related services.
Business model and contractual framework
Before leasing a site, the parties should determine who owns the goods until the point of sale and who is responsible for customs clearance, certification, warranty and after-sales service. Dealership, commission, supply and agency models have different tax and accounting consequences. For used vehicles, particular attention should be paid to provenance, encumbrances, registration history and the seller’s authority.
Import, conformity and registration
For imported vehicles, the file should include the foreign economic contract, invoice, transport and customs documents, and evidence of origin and conformity. Before sale, it is necessary to establish which document enables the first state registration of the particular vehicle. An advertising promise of a ‘turnkey car from Europe’ should not conceal customs payments, certification, repairs or delivery times.
Sales premises and payments
- the right to use the showroom, parking area and service zone;
- KVED activity codes for trade, intermediation, repair and additional services;
- RRO/PRRO cash-register arrangements, acquiring and rules for documenting advance payments;
- sale and purchase agreements, commission agreements, warranty documents and acceptance certificates;
- a policy for processing customers’ personal data and test-drive data;
- staff, occupational safety and service-area equipment documentation.
Risks that arise most often
Problems arise where the actual seller differs from the contracting party, advance payments are opaque, customs status is not evidenced, defects are concealed or warranty obligations are unclear. A dealership owner needs a single file for each vehicle, covering the process from purchase or acceptance on commission through to the fiscal receipt and handover to the buyer.
