Opening a retail outlet: what remains of the former permit model
Earlier versions of this page described obtaining a separate permit to locate a shop or other retail outlet. Under current practice, there is no universal ‘trade licence’ for an ordinary shop: the required actions depend on the goods, premises, payment method and local rules.
The process should therefore begin not with a search for one certificate, but with a legal map of the specific retail outlet.
What should be checked before opening
The business should confirm its right to use the premises and check their designated use, accessibility for visitors, rules for signage and opening hours. Food businesses are also subject to requirements for facility registration, hygiene, traceability and safety procedures. The sale of alcohol, tobacco, fuel, medicinal products or other regulated goods requires a separate review of the relevant licences and permits.
Registration and cash-register requirements
The activities recorded in the Unified State Register should correspond to the company’s actual sales. Before accepting cash or card payments, the business should determine whether an RRO or PRRO applies, register the cash register, configure the product nomenclature and establish the rules for issuing fiscal receipts. For an online shop, the public offer, returns policy, personal-data protection and delivery arrangements should also be checked.
Documents in the working file
- an extract from the Unified State Register and tax details;
- a lease agreement or ownership documents;
- a floor plan, signage documents and opening-hours documents where required;
- supplier contracts and documents evidencing the origin of the goods;
- registration details for the RRO/PRRO and payment equipment;
- sector-specific licences, declarations, notifications or registrations for regulated goods.
Procedure
The first step is to describe the product range, sales channels and payment methods, then check the premises and local restrictions, after which the cash-register, employment and inventory documentation is put in place. Earlier references to guaranteed consideration ‘at the next commission meeting’, a fixed 30-business-day period and a standard payment arrangement form part of a historical commercial offer rather than the current procedure.
