Law on Company Registration in Ukraine: How the Process Changed

In earlier years, the introduction of a unified state register was seen as a transition from fragmented paper procedures to a single-window system. Entrepreneurs discussed requirements for registration cards, constitutional documents, name reservation, personal filing and registration with different authorities.

How to Start Business in UkraineOverview for companies

Some of those expectations were realised through the subsequent development of the register and electronic services.

In 2026, state registration of legal entities is governed by the current version of Law of Ukraine No. 755-IV. The process depends on the legal form, composition of founders, method of signing, ownership structure and selected service. Company formation is completed by an entry in the Unified State Register, but a full launch also includes tax matters, banking, accounting, contracts, employees and permits.

This material explains what changed from the paper-based model of the first years of the law's application to the current process. It preserves the useful subject of the original publication and turns it into a working plan for the business owner. Before filing, the documents and technical conditions of the service are checked as of the date of the specific action.

What changed in obtaining the registration result

Previously, founders completed a paper registration card, submitted constitutional documents to the state registrar and separately went through a significant part of the post-registration procedures. The company name, signatures, notarisation and number of copies had substantial technical importance. Practice could differ between cities because of the organisation of local services.

Today, the Unified State Register is the main source of information on a legal entity, and standard data are exchanged between state systems within established procedures. Some actions can be completed online. At the same time, a foreign founder, corporate ownership structure, individual charter, special participant rights or non-standard documents require separate preparation.

The owner now needs not merely to complete a form, but to create a consistent digital and documentary model of the company. The name, address, director, activities, participants, ultimate beneficial owners and representation restrictions must be consistent across resolutions, the charter, the application, the ownership structure and the future bank file.

Current sources and verification date

The principal act remains Law No. 755-IV ‘On State Registration of Legal Entities, Individual Entrepreneurs and Public Associations’. LLCs are also subject to Law No. 2275-VIII, which regulates interests, governing bodies, resolutions, capital, transfer of corporate rights and internal management.

Certain technical matters are determined by subordinate legislation, requirements for Unified State Register information and the conditions of the electronic service. The official service page helps verify who may be an applicant, what signature must be used and what result is provided. The service instructions should be read together with the law and the founders' documents.

The working file records the date of the legal and technical check. If preparation takes longer or the service changes between signing the resolution and filing, the specialist rechecks the application form, authority, list of attachments and method of receiving the result.

What result the owner needs

The registration result is a legal entity created with correct information in the Unified State Register and documents that support its actual governance. The owner must understand who makes strategic decisions, who signs contracts, how the business is financed, how an investor enters and how ownership of an interest is evidenced.

Operational launch requires a tax status, accounting process, bank account, electronic signatures, contract templates and, where necessary, employees and permitting results. These tasks are planned before registration so that time is not lost after the statement is received.

The commercial objective is recorded in a short brief: type of business, customers, territory, currency, expected turnover, ownership composition, financing and regulated operations. It determines the corporate form and the depth of documentation.

Choice of legal form

An LLC is a common model for small, medium-sized and investment businesses. It may have one or more participants, an individual or model charter, an executive body and agreed rules for transferring interests. The owner receives a clear corporate structure that can develop together with the business.

Another form is selected where required by law, the activity, ownership composition, a non-profit purpose, professional practice or the investment model. The comparison covers liability, governance, capital, reporting, the ability to bring in a participant, transfer of rights and special regulation.

The service name ‘company registration’ is general. The documents use the precise legal form of the entity. A specialist explains its consequences in clear language and records the choice before the constitutional package is prepared.

Founders and future participants

For an individual, the name, identity document, tax number, address and contact details are checked, together with marital or representation matters where they affect the contribution or signing. For a legal entity, current registration information, a resolution of the competent body and evidence of the representative's authority are required.

The composition of participants is designed around the actual contribution, role and future rights. A nominal participant without a clear economic function creates corporate and banking questions. The interest, financing, voting and profit distribution should correspond to the agreed business model.

If an investor enters later, the documents can provide from the outset for an increase in capital, transfer of an interest, pre-emption rights, access to information and decisions requiring enhanced consent. This reduces the amount of restructuring needed during an investment round.

Ultimate beneficial owners and ownership structure

The ownership structure shows the chain from the Ukrainian legal entity to the individuals exercising ultimate control. Registration information and documents are collected for each link. The lawyer checks direct and indirect ownership, control through voting rights and other mechanisms.

Information for the Unified State Register is aligned with the corporate documents and the future bank questionnaire. If the structure is complex, an explanation of the role of intermediary companies, trust or partnership arrangements is added in accordance with the facts. The structure must be readable and supported by evidence.

After formation, the company includes ownership changes in its corporate compliance calendar. A new participant, group reorganisation or change of control triggers a review of register and bank data.

Foreign founder

A foreign individual or legal entity may be a founder of a Ukrainian company subject to the requirements for its documents. For a foreign company, an extract, constitutional or representation documents, a resolution and evidence of the signatory's authority are provided. Translation, apostille or consular legalisation are determined by the country, treaty and type of document.

Names and personal names are transliterated consistently across all materials. The validity period of the extract, notarisation requirements and method of transmitting the original are checked before the filing date is set. The power of attorney describes the specific corporate, registration and banking actions.

An international project also takes into account the financing currency, tax residence, controlled transactions, sanctions compliance and source-of-funds documents. Ukrainian registration becomes part of the wider group plan.

Company name

Name options are checked before the resolution is signed. The full and abbreviated names, Ukrainian spelling and, where required, English-language rendering must be consistent. Any word or element whose use is subject to special regulation is analysed separately.

The name of a legal entity does not replace trade mark protection. If the brand is important for sales or exports, the founder checks the designation, domain and intellectual-property rights. The corporate file identifies the owner of the brand and the terms on which the company uses it.

After registration, the name is shown consistently in contracts, invoices, tax documents, the bank, electronic signatures and communications. The internal template contains verified company particulars.

Registered location and business presence

The address must support receipt of correspondence, contact with the company and the actual organisation of management. The document for the premises depends on the model of use. The owner determines in advance who receives official correspondence, monitors notices and passes them to the director or adviser.

The bank and counterparties may require an explanation of business presence: premises, team, equipment, website, suppliers and customer geography. The registered address is one element of that profile, not complete proof of activity.

If the location changes after launch, the update to the Unified State Register is coordinated with the premises agreement, bank, licences, tax materials, website and contractual particulars.

Economic activities

KVED codes are selected according to actual and planned operations. The principal activity reflects the core business line, while additional codes cover real products or services. An excessive list without a link to the business model complicates explanations to the bank and does not replace a special permit.

The wording used in contracts, invoices, the website and the internal description should correspond to the activities the company declares. For a new product, the team checks the code, tax consequences, licence, staff and material resources before the first sale.

A KVED code does not by itself create the right to carry on a regulated activity. If a licence, permit, register status or declaration is required, the relevant procedure is included in the launch plan.

Charter or model charter

A model charter may support a standard LLC and electronic registration if the founders and selected structure meet the conditions of the service. Before choosing it, the founder reviews the available provisions and understands how decisions will be made, the director appointed and an interest transferred.

An individual charter is appropriate for several participants, an investor, special governing bodies, restrictions on authority, complex financing or a special exit procedure. It should not become generic text unrelated to the business. Every non-standard provision should have a purpose.

The charter is read together with the corporate agreement, resolutions and register information. If a restriction on the director's authority matters for external relations, its formalisation and reflection in the records are checked under the current procedure.

Charter capital and financing

The participants determine the size of their interests, composition and timing of contributions. A cash or non-cash contribution is documented with evidence of valuation, transfer and accounting treatment. Ownership of the property and the absence of encumbrances are checked before contribution.

Operating finance may be provided as a contribution, additional capital, a loan, payment for goods or another proper transaction. Each method has its corporate, tax and banking logic. The financing plan is determined before the first transfer, especially where a non-resident is involved.

The owner receives a contribution timetable and a document confirming performance. The record of corporate rights and the actual receipt of funds should not exist as two inconsistent versions.

Company Incorporation in UkraineCompany incorporation in Ukraine

Governing bodies and director

The founders' resolution determines the establishment of the company, charter, capital, governing bodies, director and person authorised to register the company. The competence of the body and voting procedure correspond to the selected form. For a sole participant, resolutions are documented in writing and kept in the corporate file.

The director receives clearly defined authority, commencement date, terms of the agreement or employment contract, limits and the procedure for approving material transactions. If the functions will be performed by a foreign national, employment and immigration documents are planned separately.

For continuity, a backup signing procedure, powers of attorney and access rights are defined. The owner understands which decisions remain with the participants and which the director may make independently within the budget and policies.

Preparation of the resolution and constitutional documents

The project starts with a table of agreed parameters. Once the name, form, participants, interests, address, activities, governing bodies and signatory have been confirmed, the resolution and charter are prepared. This reduces conflicting drafts and repeated approvals.

The document is checked for names, company names, numbers, dates, references, amounts, percentages and authority. Attachments are numbered, and the electronic and paper versions correspond to one another. Foreign-language materials are checked against the translation.

The final review is carried out by another person or against a separate checklist. It covers legal substance, technical format, completeness and the ability to use the documents after registration.

Language, signature and representation

Documents for a Ukrainian registration action are executed in the state language, taking into account the requirements for the specific document. A bilingual corporate file may be useful for a foreign owner, but the Ukrainian text and translation must be consistent.

The method of signing is determined before the package is finalised. A handwritten, notarised or qualified electronic signature is used according to the document and filing procedure. The signatory confirms authority as of the date of the action.

The representative receives a power of attorney containing a sufficient list of actions: filing, receiving the result, resolving a technical issue, a notarial action or interaction with the bank. Excessive powers are not included automatically.

Methods of filing

The applicant may use the offline or electronic filing method provided by law, depending on the type of action and documents. A state registrar, a notary acting as a registration authority and an online service operate within their respective powers and technical conditions. The choice is made after the founders' structure has been reviewed.

A filing checklist is prepared: application, resolution, constitutional document, documents of a foreign participant, ownership information, authority and other materials required for the particular situation. The standard list is supplemented after the initial assessment.

The coordinator records the date, applicant, channel, list of files, signature and application number. This makes it possible to monitor consideration and reconstruct the package if a technical clarification is required.

Electronic LLC registration

Diia provides an LLC registration service based on the model charter for cases that meet the established conditions. Founders select the parameters, complete the information and sign the application with a qualified electronic signature. Before starting, the current service requirements and suitability of the model provisions are checked.

The online process is convenient for a standard structure, but it does not replace planning of ownership, capital, the director, taxes and banking. Data are entered after corporate approval rather than being determined incidentally while completing the form.

After automatic or ordinary processing, the result is checked against the agreed table. Electronic documents, receipts and the register entry are stored in the main file.

Review and verification of the result

The specialist tracks the status and messages in the selected channel. If the authority requests clarification within the procedure, the response is prepared on the basis of the documents rather than by changing the agreed model without the owner's decision. A material issue is referred back for corporate approval.

After completion, the name, code, address, form, director, representation, participants, ownership and activities are checked. Any error is recorded immediately and handled through the appropriate registration procedure.

The statement and constitutional documents are provided to the director, accountant and banking coordinator as controlled copies. Originals and electronic files have a defined storage location.

Tax model after formation

Before registration, the accountant compares the general and simplified tax systems, VAT, corporate income tax, payroll taxes and the treatment of planned payments. The choice depends on the activity, turnover, customers, expenses, imports, exports and ownership composition.

Applications or notices concerning the selected status are filed in the procedure and within the timeframes checked as of the launch date. Registering KVED codes does not automatically select a tax model. The team separately confirms the status obtained.

The accounting policy, chart of accounts, primary documents, cash procedures, VAT and electronic reporting are set up before the first transaction. The director understands the payment calendar and who is responsible for filings.

Bank account and client file

The bank carries out its own review of the legal entity, owners, director, source of funds and business model. The company provides consistent register and corporate documents, the ownership structure, description of activities, projected turnover, geography and, where required, contracts or a business plan.

The owner prepares an explanation of the source of initial financing and the first payment. The amount, purpose, contract and corporate basis must be consistent. Foreign-currency and banking requirements are taken into account for an international transfer.

After the account is opened, signatories, limits, two-factor controls, user roles and the statement archive are configured. Bank details are added to verified templates only after confirmation by the bank.

Accounting and internal control

The company determines who keeps the accounts, signs reports, stores primary documents and controls payments. The agreement with an accountant or provider specifies the scope, timing, access rights, responsibility and procedure for transferring the accounting database.

The first templates cover invoices, contracts, acceptance certificates or delivery notes, expense reports, employment documents and payment approvals. They correspond to the actual product and tax status. The director receives short instructions on the supporting evidence required for principal transactions.

Monthly control shows bank balances, receivables, payables, taxes, payroll and related-party transactions. The owner sees the financial result and control dates from the start of operations.

Employees and foreign specialists

Before hiring, positions, functions, remuneration, working hours, workplace, material responsibility and rights to created results are defined. Employment documents correspond to the actual model. HR and accounting processes are coordinated by date.

For the director, the corporate resolution and the employment or other management basis provided by law are formalised. Authority in the Unified State Register, contract, bank, qualified electronic signature and internal authority matrix must be consistent.

A foreign employee requires a check of the work permit and immigration status. This process is planned together with the actual start date, accommodation, taxes and signing of documents.

Licences and permits

For a regulated business, registration of the legal entity is the first stage. The exact licence, permit, declaration, certificate or register status is then identified, together with the relevant authority and requirements for personnel, premises, equipment and internal procedures.

The launch calendar takes into account the time needed to establish the material base and for consideration. The company does not base its commercial plan solely on a KVED code. A specialist identifies the result that permits the specific activity to begin.

UBC may perform the work directly or coordinate a vetted independent partner for a regional or specialised part of the engagement. The scope and responsibility are communicated to the client in advance.

Contracts, website and first sale

The contractual model describes the subject matter, price, taxes, payment, acceptance, liability, confidentiality, personal data and intellectual property. For online sales, the offer terms, seller information, payments and returns are also checked according to the product.

The website and commercial materials use the full company name, particulars and an accurate description of the service. The promise made to the customer must correspond to the contract, permits and operational capacity. The trade mark, domain and content are registered or assigned to the proper owner.

Before the first sale, the team conducts a test covering the contract, invoice, payment, acceptance document, accounting entry and document storage. Issues identified are corrected before the process is scaled.

Changes to an already registered company

Law No. 755-IV regulates not only formation but also subsequent registration actions. A change of director, address, participant, interest, charter, name or ownership begins with a corporate basis and the current state of the Unified State Register.

Every change has external consequences. A new director requires updates to the bank and signatures; a new participant, the ownership structure; a new address, correspondence and permitting materials; a new name, contracts, the website and invoices. The plan covers the complete working result.

Before filing, unfinished earlier changes, encumbrances, court matters and the applicant's authority are checked. After completion, the new version of the corporate file is retained.

New or ready-made company

International Trade and Market EntryInternational trade and market entry

A new registration makes it possible to define the name, structure, charter, director and accounting around the project. A ready-made company makes sense where value lies in operating assets, contracts, a team, permits or market relationships. Buying an empty shell is compared with the available speed of standard formation.

A transaction involving a ready-made company requires corporate, financial, tax and litigation due diligence. The buyer acquires the legal entity together with the consequences of its previous operations. Issues identified affect the price, warranties and completion conditions.

The owner compares the total timeframe and budget: registration and launch of a new business versus due diligence, the transaction, change of control and integration of an existing one. The decision is based on commercial value.

Timeframe, budget and dependencies

The project timeframe consists of agreeing the parameters, obtaining foreign documents, preparation, signing, registration review, and tax and banking launch. Some stages can be carried out in parallel once the key decisions have been agreed.

The budget includes professional work, official and notarial fees, translation and legalisation, qualified electronic signatures, accounting setup, permitting materials and banking preparation. The client sees the mandatory and optional elements.

Dependencies on the founder, notary, registrar, bank, translator and specialist authority are reflected in the calendar. A target receipt date and a backup organisational method are defined for critical documents.

The table shows a change in how the process is organised, but does not mean that every action has become automatic. A complex ownership structure, foreign documents, individual governance and regulated business require professional preparation. A digital channel shortens the technical stage where the source data have already been agreed.

Three launch scenarios

A single-member LLC for consulting or IT activities can use a standard structure. The owner agrees a model or individual charter, KVED codes, director, taxes, bank and contracts. The main task is to obtain a consistent package quickly and test the first service from invoice through to acceptance document.

A company with several partners requires deeper corporate design. Before registration, the parties agree contributions, roles, budget, voting, information rights, conflicts of interest, exit and the procedure for selling an interest. The charter and corporate agreement support the commercial arrangement, while the accounting model reflects the actual financing.

A subsidiary of an international group adds foreign resolutions, translation, an ownership structure, banking compliance, intra-group agreements and a financing policy. The Ukrainian director receives clear limits of authority, while the parent company receives a calendar of corporate reporting and approvals.

Corporate agreement and partnership model

The partners first formulate the economic arrangement: who contributes money, technology, customers or management resources; how the budget is formed; when dividends may be paid; and which decisions require joint consent. The lawyer translates this into the charter, corporate agreement and internal procedures.

The mechanism for resolving disagreements is planned before a conflict arises. Negotiations, mediation, purchase of an interest, an exit right or another agreed arrangement must have clear conditions and a valuation method. The document should not create an unmanageable situation in which no body can make the required operational decision.

Information rights are combined with regular management reporting. Participants receive the budget, cash movement, sales, liabilities and material contracts in an agreed format. Transparent information supports the partnership and preparation for a future investment round.

Procurement, exports and work with a major customer

If the company plans to participate in a tender or enter into a contract with a major customer, the registration parameters are checked against the requirements of the future transaction. Activities, signatory, tax status, team experience, licence and financial capacity must support the stated proposal.

The export model includes currency, invoice, delivery or service-acceptance terms, bank, counterparty tax residence, intellectual property and data protection. The company prepares English-language documents, while Ukrainian corporate resolutions and accounting remain consistent with them.

The initial counterparty check covers registration information, the signatory, sanctions factors, subject matter and payment flow. The commercial department receives a short list of documents to be used for future material transactions.

Data, digital security and access rights

Before launch, the company determines what personal, customer and commercial data it will receive, who will have access and where the data will be stored. Agreements with employees, providers and customers reflect the relevant roles and confidentiality. Company registration is combined with configuration of the digital environment.

The administrator creates corporate email, domain rights, backup contacts, two-factor protection and a user register. Qualified electronic signatures, banking, accounting, CRM and cloud storage have designated access owners. The founder's personal accounts do not become the single point of control over company assets.

When a director or contractor changes, access rights are transferred using a checklist. Closure of the old user, creation of the new one, backup and an event log are confirmed. This system protects business continuity and corporate information.

First annual corporate calendar

The calendar includes participant resolutions, financial statements, taxes, dividend payments, budget review, confirmation of authority, permit expiry dates and ownership updates. For each date, a responsible person, source data and completion document are defined.

A quarterly management review compares planned and actual sales, expenses, cash, receivables, taxes and material risks. Participants make decisions based on one agreed set of data. The annual corporate action is prepared in advance rather than after a deadline has been missed.

The calendar is reviewed when there is a new investor, loan, asset acquisition, licence or entry into another market. The initial registration file becomes a living management system and supports predictable company growth.

Founder abroad and remote coordination

A Ukrainian or foreign founder located abroad agrees the method of participation before the final package is prepared. The team determines which documents can be signed with a qualified electronic signature, which require a notarised original, how the power of attorney is executed and by what channel the result is delivered. The calendar takes delivery, translation and time zone into account.

A video meeting is used to confirm corporate parameters, but decisions are recorded in the table and documents. The founder receives a version for approval, a list of changes and clear signing instructions. After the originals are received, the responsible person checks the package and confirms readiness for filing.

The remote model continues after registration. The owner receives secure access to the corporate file, management reporting and calendar, while the director has defined limits. Payments, contracts and material decisions are approved in a system that leaves an audit trail without delaying operational work.

Regional and network business

A company planning future branches, retail outlets or production sites designs central management and local authority. Registration of the principal legal entity is combined with premises agreements, staff, cash and inventory models, local permits and the responsibility of the unit manager.

Common templates for company particulars, contracts, accounting and controls are used across all locations. Local differences are recorded in a separate appendix. A vetted independent partner may perform an agreed regional action, while UBC consolidates the documents and status for the owner.

When each location is opened, the team completes a fully documented launch review: right to the premises, notices, permit, employees, equipment, cash register, bank and first sale. The central corporate file shows all operating locations and upcoming deadlines, supporting controlled development of the network under an agreed plan.

For a franchise or partner network, rights to the brand, service standards, territory, training, reporting and quality control are additionally defined. The contractual model must correspond to the corporate structure and the actual allocation of functions. The central company retains rights to key assets and grants partners the agreed scope of use.

The management dashboard shows the launch of each location, responsible person, budget, first-sale date and nearest permitting action. The owner sees the network as one business process, while the local manager receives a specific set of documents and authority. This makes it possible to scale a tested model consistently.

Quality control and common errors

Delays are most often caused by different spellings of a name, incomplete authority, inconsistent interests, an outdated foreign extract, a conflict between the charter and application, or a mismatch between the selected online filing method and the founders' structure. The checklist identifies these issues before filing.

A second group of errors arises after registration: the company has not confirmed its tax status, has not prepared an explanation of operations for the bank, uses an unverified template or begins a regulated activity without the required authorisation. The launch plan links these actions to the calendar.

Review of the first transaction completes the quality-control cycle. The specialist checks the contract, invoice, payment, acceptance document, accounting entry and reporting logic. The team receives a corrected template and criteria for future work.

Documents received by the owner

The final file contains the corporate brief, resolution, charter or information on the model charter, founders' documents, ownership structure, powers of attorney, filing confirmations, statement, tax results, banking checklist and calendar.

The operational package includes company particulars, an authority matrix, basic contract and accounting templates, a list of permits, access credentials and instructions for the director. Electronic originals are stored together with signatures and receipts.

The manager receives a concise report on the implemented model, completed actions, open tasks and upcoming corporate dates. In this way, registration documents become the foundation of a controlled business.
