Registration of enterprises in Kyiv. Registration of LLC, TOV in Ukraine with foreign founders
Registration of a new enterprise - TOV, LLC, PE, private enterprise for business, including online registration in electronic form in Ukraine in 2026, is available to anyone who wants to start a new business in Ukraine in just a few hours! When registering an enterprise, it is important how and with whom you start it. We have helped thousands of successful enterprises in Ukraine start business - we will help you too. Where to open an enterprise or register a limited liability company is a normal and correct question. In Ukraine or in Europe? We recommend both options for diversification of risks and maximisation of profit from your business.
In exactly the same way, the answer to the question of which bank is better for opening an account will not be a recommendation of a particular bank, but advice to open accounts in at least 2-3 banks, distribute financial flows between them and, preferably, the jurisdictions where the banks are located.
Considering the issue of enterprise registration from the point of view of carrying out business activity and taxation regimes - any forms of private enterprises, whatever they were historically called at one time, TOV, JSC, LLC, CJSC, OJSC, VAT, PJSC, JSC, subsidiary enterprise, private enterprise, PE, joint venture) are absolutely equal under Ukrainian legislation. Some types of business - registration of a pawnshop - have a limited range of ownership forms, for example full liability partnerships or additional liability partnerships, or registration of a financial company, registration of an insurance company or a bank in the form of a joint-stock company, JSC, PJSC (OJSC), may be the only possible options.
Registration of an enterprise in Europe or the United Kingdom (UK Ltd company) in many cases is also possible online with our help: your company will be ready to work within 24 hours after approval of the name and composition of founders \ directors. A European company or UK LTD will give your business new opportunities to find clients from European countries and around the world who, for certain reasons, are not yet ready to interact with Ukrainian business. Banking services for companies in Europe are simple and convenient; in terms of service they are closest to Privat24 services.
The essence of the difference between forms of enterprises is exclusively “internal”: the management procedure, relations and liability of founders, control mechanisms and formation of the charter fund (share capital), recognisability and the level of consumer confidence in one or another form of ownership, for state and large corporate customers, etc.
The difference in conducting business on behalf of an enterprise - a legal entity - compared with an individual entrepreneur (a private entrepreneur who is an individual) is quite significant, especially if you plan to work in the corporate sector and sell your goods or services not only to private individuals but also to enterprises of all forms of ownership. An enterprise is a completely different business instrument and gives you, as an owner and businessman, significantly greater growth opportunities and, of course, a different level of income. Starting a business with registration of an enterprise is always the right decision!
What has changed in enterprise registration in Ukraine in recent years? It has become easier. Indeed, many processes have been digitalised, most paper forms have been removed or their use is not mandatory in many cases of starting a business
- in 2026 in Ukraine, mandatory use of a seal is not required when registering an enterprise; however, this rule has already been in force for quite a long time..
- in 2026 there is no requirement to pay the charter capital before registration of an LLC.
- in 2026 all company documents are located only in the state register: you have no originals that you could lose; at any time you can print a copy of all documents from the register of enterprises of Ukraine.
- in 2026 there is no need for mandatory notary services when registering and opening an account in a standard situation (founders and directors are individuals, citizens of Ukraine, everyone has Diia or an electronic digital signature / qualified electronic signature): bank signature specimen cards are certified by a bank employee, and the bank employee independently obtains all information about the company from the register when opening the account - notarised copies of documents are no longer required, nor are paper extracts and statements..
- In 2026, the option of online electronic registration of an enterprise without participation of a notary continues to apply for residents and citizens of Ukraine - a personal electronic digital signature (EDS) when signing registration forms and certifying the constituent documents of a newly created enterprise. This possibility brings Ukraine closer to developed EU countries in terms of the simplicity of starting a new business.
In practice in 2026, not all business partners yet understand that paper and electronic documents of an enterprise are identical and that their authenticity can be checked online free of charge on a government website; not everyone also understands what it means to work under a standard model charter without a separate document called a “charter”, therefore, if necessary, you can always carry out classic paper registration through a notary and have paper copies of all documents from the register notarised if, traditionally, business partners in another country prefer or require paper documents in addition to electronic forms. In such a case, it is also possible to set out in the charter rights and obligations that are genuinely important for the business and relations with co-founders, which in the standard model charter are written in such a way that in practice they do not solve many business tasks if the company has more than 2 or more founders - everyone’s circumstances may change, and having a proper charter “agreed at the outset” will always help you avoid conflict situations in the future if someone wishes to leave the business or sell a share in it.
In Ukraine, when starting a business, the choice is mainly between an LLC and an individual entrepreneur:
- Previously there was another form, a private enterprise - PE (private enterprise, in Ukrainian), a form essentially close to a Private Company LTD in common-law countries (USA, England, Cyprus, offshore jurisdictions), which was often chosen for starting a business because of the simplicity of organisation and was sometimes confused with a private entrepreneur - the same abbreviation PE. But the latest changes in Ukrainian legislation stopped registration of new enterprises in the form of a private enterprise, and all companies already existing in the register were given a period for reorganisation into an LLC (TOV), which in fact continues in 2026 because of force-majeure circumstances connected first with the COVID-19 pandemic and then martial law in the country.
- a limited liability company - LLC, TOV, “tovarystvo z obmezhenoiu vidpovidalnistiu” in Ukrainian) - in general, functionally resembles a hybrid of an American LLC (USA) and an English LTD (England) in substance, but is regulated by the Civil Code. An LLC or TOV company in Ukraine has founders but no shares; there is a meeting of founders and they can interfere in company affairs (approve certain transactions, and the director is not completely independent in his or her actions in Ukraine). The absence of shares in a Ukrainian LLC means that there is no right to freely sell one’s share in the enterprise at any time to any person at any price. There are quite a lot of such points for a practical businessman, and there is a solution - not to operate under the standard model charter, but to regulate the main issues additionally in the text of the charter and additionally draw up a founders’ agreement between the partners at the start. In that case, it is your document that will have priority when decisions are made.
- An individual entrepreneur, business entity or private entrepreneur without formation of a legal entity is a frequent choice at the start for many people, because registration of an entrepreneur is now in fact available in one click. For many situations and a simple first business, this is indeed a convenient and even recommended solution if everything belongs to and is controlled by one person, who often is also the only employee in his or her business.
The criteria for choosing between a Private Entrepreneur and an LLC, TOV - a Limited Liability Company - are mainly the following factors:
The simplicity and cost of creating a private enterprise, if documents are submitted on paper or online, are simpler and cheaper (in fact there is not even a state fee), and there are no requirements for the charter fund (capital), while for an LLC the maximum payment period is up to 1 year, although the amount may be nominal, for example 100 or 1,000 hryvnias.
But for sales - after all, you create a company with the main purpose of making a profit and selling something to someone, correct - there is a difference and it is significant. An enterprise immediately tells the buyer about the “solid” and “standard” approach to business for the long term; the abbreviation LLC has had an image of reliability formed over decades, especially among the older generation, who do not always follow digital innovations and are still surprised when there is no seal on company documents - for them it is no argument at all that it is not mandatory by law if for most of their lives they knew and saw something different in practice. Therefore, it is important to understand the purpose. Why do you need a company or an individual entrepreneur? Then it will be easier to make a choice. And the possibility of fast online registration at first glance is an unconditional advantage of an LLC - it considerably simplifies and accelerates the start of any business - but often it is worth spending a little more time and still writing a normal, proper charter and having it notarised so that there are no “technical data transfer errors” in the future. It is like modern “cool storage” or a “cold wallet” in cryptocurrencies. But the decision is yours.
For most of your future clients, consumers and partners, the abbreviation “LLC” looks clearly understandable and familiar and inspires more confidence than a private entrepreneur as an individual. For trading companies, and also for sales to a target group of mass-consumption goods, a manufacturer in the form of an LLC (TOV) will look better on the “label” - believe us, such products will be bought more willingly than products with the same name when they were produced by a private entrepreneur-individual, some Mr Petrenko A.V., business entity (individual entrepreneur). The capital of an LLC is also not limited by any minimum or maximum, but the capital of an LLC must be contributed within a year in money or property. Capital data are public. You can contribute even UAH 10. But your buyers can easily see this as well. Modern AI assistant agents will even do this without being asked when searching Google - we recommend stating UAH 10-50 thousand; you will certainly need this money for the first business expenses (rent, advertising, accounting) and you will spend it anyway - but at least the enterprise will look “normal” in the register and understandable to all counterparties.
Enterprises with foreign capital and non-resident founders in Ukraine
When enterprises with foreign capital are created, in most cases (in our practice) such an enterprise is created in the form of a Limited Liability Company (LLC), but in this case the documents will have to be submitted in the traditional paper form because the possibility of obtaining an electronic digital signature is not yet provided by current legislation for non-residents of Ukraine.
This form of enterprise in the form of an LLC is well regulated by Ukrainian legislation and is analogous to existing LLCs in all CIS and EU countries (except England and Cyprus) and makes it possible to solve ALL typical tasks of a foreign founder (carrying out business activity in Ukraine through a controlled enterprise or with participation of partners from Ukraine, the possibility of receiving and repatriating profit, absence of liability of the foreign founder for debts of the created enterprise, etc.) and at the same time does not provide for “unnecessary additional formalities” such as issue of shares in a joint-stock company.
It should be noted that Ukrainian legislation on the foreign investment regime provides for one or another set of rules (investment protection, etc.) regardless of the form of the enterprise into which the investment was made, including that these rules apply to a Limited Liability Company. In addition, it should be noted that today Ukrainian legislation no longer provides for such forms of enterprises as “Joint Venture”, “Subsidiary Enterprise”, “Enterprise with Foreign Capital”, etc., but allows the creation of an LLC with 100% foreign capital owned by one foreign legal entity (the sole founder).
At the same time, it is also possible to create simply an Enterprise with 100% foreign capital in the form of a Private Enterprise, but registration in such a form is possible not in all regions of Ukraine and not in all districts of Kyiv, because this form is less regulated and there is no clearly regulated procedure for creating enterprises with foreign capital in the form of a private enterprise.
In this connection, many state registrars do not accept documents for registration of an enterprise in Ukraine with foreign capital in the form of a private enterprise.
For individuals - founders who are not citizens of Ukraine, preliminary obtaining of a Ukrainian TIN (individual tax number) is also required, and only after it is obtained is registration of a new enterprise and opening of a bank account of a non-resident investor possible.
Ukrainian legislation concerning the mandatory use of accounts of non-resident investors changes every year; in 2026 the use of investment accounts of a non-resident investor is not mandatory for most investment operations, including payment of the charter capital (fund) of the enterprise or increase of the charter capital (fund).
The choice of the form of a joint-stock company (previously CJSC, private JSC or PrJSC, now again JSC) may be caused by the following considerations: an even greater “solidity” of the organisational and legal form and the simplicity (compared with an LLC) of transferring, in the future, rights to the enterprise (shares).
In an LLC, a share in the charter fund is transferred with the consent of the other participants by making amendments to the charter documents. In a joint-stock company this is not required, and rights to the enterprise are transferred by disposal of shares).
When choosing an organisational and legal form, the question is sometimes raised whether it is possible to register a Joint-Stock Company (JSC) or a public joint-stock company (PJSC). It should be noted immediately that the period for creating an Open (public) joint-stock company is at least 7-8 months. Acceleration is impossible (the law provides for a 6-month period for subscription to shares after publication in the press of information about the intention to create a JSC). The most important feature of a public joint-stock company is the possibility of selling the Company’s shares on a stock exchange and the minimum number of shareholders established by law.
In all (of the above) forms of enterprises in Ukraine, the founders (participants, shareholders) are not liable for the obligations of the enterprise.
Other (significantly less common) organisational and legal forms of legal entities in Ukraine:
- general partnership,
- limited partnership,
- additional liability company - enterprises (companies) in which participants are fully and/or partially (depending on the type of company) liable for the debts of the company. consumer society - a long-existing type of legal entity, but not clearly regulated by legislation. The Law of Ukraine “On Consumer Cooperation” provides that the main document regulating the activities of a consumer society is its charter. Therefore, a consumer society can be regarded as a convenient form in which provisions can be included in the enterprise’s charter that for other forms of enterprises are regulated by law not in the way you need.
- production cooperative - a new type of enterprise (provided for after 01.01.04). It provides for combining the property and labour participation of members of the cooperative. From our point of view, legislation has NOT practically regulated the activities of a production cooperative (for example, legislation provides that in a production cooperative the distribution of profit will take place “in proportion to the share of labour participation of members of the cooperative”; questions arise: how should this labour share be determined?, especially when resolving the “delicate issue” of profit distribution? etc.).
- other types of enterprises (state enterprise, enterprise of a public organisation, etc.). The procedure for their creation does not provide for the possibility of their creation by founders who are individuals or ordinary legal entities.
Time limits for registration of a new enterprise and verification of the enterprise name
When an LLC is registered electronically online, the period is on average 2 hours after the application is submitted during working hours, with a maximum of 24 hours from the time the application is submitted. In traditional paper registration, depending on the district in Kyiv, it is 2-3 business days from the moment the documents are signed before a notary. In other regions of Ukraine - on average up to 5 days. Note: several days after completion of the registration actions, it will be necessary to choose the enterprise’s taxation system (general or simplified) and submit the corresponding application to the tax inspectorate.
If registration of the enterprise as an LLC takes place online, an application for selection of the taxation system and registration as a VAT payer (if desired) can be submitted at the same time as the registration documents
It should be noted that verification and selection of the name of your new enterprise at UBC is carried out by our specialists within several minutes; at the same time, we do not limit the number of desired options and do not charge an additional fee. You can also do this yourself and free of charge online using the official database of existing enterprises of Ukraine on the website of the Ministry of Justice of Ukraine.
What is performed by us and included in the cost of the enterprise during registration? Everything is included!
- recommendations of specialists on the choice of form of ownership, district of registration of the enterprise and name of your new company in Ukraine

Documents required for registration of an enterprise in Ukraine (LLC, Private Enterprise)
- copies of passports or ID cards with a document confirming residence (it can be generated in Diia or a paper version can be obtained at a CNAP), a certificate assigning an identification number to the founder and director, including non-resident founders (individuals). If necessary, we provide assistance in obtaining such a certificate (or a duplicate) assigning a TIN tax identification number - the taxpayer registration card number in Ukraine for non-residents and citizens of Ukraine who reside in another region and are temporarily staying in Kyiv.
- documents confirming the location (“legal address”) of the enterprise (if any), or information about the planned location - the company office and postal code.
- when the charter fund is formed with property and a paper charter is used - a list of this property indicating its value and which founder contributes which property, in MS Word format. The standard form of the model charter allows the enterprise capital to be contributed only in monetary form.
Notes:
1) upon initial registration of an enterprise, only a citizen of Ukraine may be the director; having an accountant is not mandatory. Subsequently, if the founders wish the enterprise to be managed by a foreigner, the relevant work permit for the foreign director must be obtained.
2) the location (“legal address”) of the enterprise may be the place of residence (confirmed by the founder’s registration or real estate owned by the founder or leased premises. The specific type of documents required to confirm the location depends on the situation. If there are no documents confirming the location, we will assist in finding such documents in the relevant district (the so-called “legal address”).
Information and your wishes that must be provided for registration of a TOV
- variants of the name of the enterprise being created
- district of registration in Kyiv or an address in another city
- distribution of shares in the charter fund (capital) among the founders

- main planned types of activity
- selected bank
- need to make a seal – the law does not require it, but it is often needed
- need to make additional stamps for work

- email address of the future enterprise for the register database: we recommend @gmail
- email addresses and telephone numbers of all founders and the director for activation of keys
Where the presence of the customer and his or her people is required when registering a TOV, LLC
mandatory when the paper form is selected: before a notary when signing documents and the power of attorney - the founders (or their representatives), and at our office. With electronic online registration, remote signing of documents is possible.
at the bank when opening the account - the director (and other persons indicated on the bank signature card); in some cases it is in fact possible to open an enterprise account online if all directors and founders are already clients of the bank as individuals - for example, everyone has an account with PrivatBank and has passed annual identification;
all other actions are carried out by us under a power of attorney and an agreement for provision of services and a special notarised power of attorney (if necessary) for actions connected with registration of the enterprise and opening of the bank account.
Charter capital (fund) of a new enterprise in Ukraine for an LLC and private enterprise
The minimum charter capital of a limited liability company (LLC) in 2026 is established by a decision of the founders and may be any amount at their discretion. When registering an enterprise (LLC, TOV), it is sufficient to state the desired amount - the capital can be contributed within one year.
We always recommend contributing 100% immediately after registration to the bank account (you can immediately spend the money on expenses connected with starting the business) if the planned amount of the LLC charter capital is insignificant - because any changes in the composition of founders are possible only after 100% payment of the declared capital. It is also important to note that until a participant's share in the LLC is fully contributed, the participant's liability to the company is not limited because the obligations to pay for the share have not been properly fulfilled.
The charter capital may be formed both with property (in some cases confirmation and an independent valuation may be required) and with money; after registration of the LLC, 100% of the capital of one's share must be contributed within one year (previously it was 50%) before registration).
The minimum and maximum charter capital of a private enterprise is also not regulated by legislation, therefore any amount may be stated. As a rule, it is customary to state 1,000-10,000 hryvnias, but a much larger amount is also possible.
Registration of amendments to the constituent documents of LLC, PE, private enterprise, TOV
The following types of amendments are registered in Ukraine:
- registration of simple amendments to the text of constituent documents in paper form
- change of participants and owners of the enterprise to foreign legal entities or admission of foreign investors into the LLC by increasing the capital or selling a share in the enterprise
- increase of the charter fund (capital)
- registration of changes in the composition of founders “turnkey”
- registration of changes in the composition of founders “turnkey”, including compulsory exclusion
- other services connected with registration of enterprises in Kyiv (reorganisation, change of name, “transfer” to another district, etc.)
- change of the director of the enterprise
- replacement of EDRPOU codes (certificates from MinStat)
- transition from a paper charter to use of the model charter for an LLC (TOV)
Time limits for registration of amendments to enterprise documents (LLC, PE, private enterprise, TOV)
the time required for actions to register amendments to constituent documents “turnkey” consists of two components:
The standard period for state registration of the documents itself is 1-3 business days (from the moment the documents are ready (signed before a notary); acceleration to 1 day is possible.
+ the period for other actions (for example, notification of changes to the tax inspectorate, replacement of a certificate from the statistics authorities, etc.) - 1-10 business days depending on the nature of the changes (changes of location when the administrative district (“legal address”) of the enterprise changes take the longest) (note: the changes take effect after state registration of the documents; the second stage of actions does not affect the entry into force of the registered changes in any way)
(note: when amendments are processed after in 2026, an extract from the Unified State Register of Enterprises must first be obtained (. When certain amendments are processed, a publication in the press must first be made, which also takes some time (as a rule, 2-5 days)
Documents required for registration of amendments to enterprise documents
- certificate of state registration (original), charter (original), if they are available in paper form;
- founders' agreement (if any) (original);
- copy of a certificate from the statistics department if it was available (original if the location (“legal address”), director or main types of activity are changed);
- copy of the certificate of registration as a taxpayer (Form 4-OPP) (original if the location (“legal address”) or director is changed) – if it was available in paper form;
- documents confirming the location (“legal address”) (as a rule, a lease agreement for premises and a copy of the document confirming the lessor’s ownership right to the premises, or other documents depending on the situation);
when founders are changed - documents confirming contribution by the founders who transfer their share of 100% of that share;
when the charter fund is increased: documents confirming formation of 100% of the charter fund (in the previous amount), and when property is contributed toward the increase of the charter fund - a list of this property indicating its value and which founder contributes which property;
when the location (“legal address”) is changed: documents confirming registration with four funds (pension fund, employment fund, social insurance fund for industrial accidents, social insurance fund for temporary disability) - from 2026 for payment of the unified social contribution to the Pension Fund
copies of passports and certificates assigning codes to the founders (“new” and previous, if the founders are changed), the director and the accountant;

Specific features of working with non-resident founders
If your business no longer fits into the “small” category, or you have found a foreign partner-investor for your business, and/or you are simply concerned about confidentiality and want reliable protection against raider attacks and unlawful influence on the company’s founders and shareholders - re-registration of part of the business (a share in the capital of an LLC) to a foreign company or a European business partner, or registration of an enterprise in the form of a limited liability company (LLC, TOV) as an enterprise with a 100% foreign participant for starting a joint business with a foreign investor in Ukraine will be the best solution to these issues.
The latest amendments to Ukrainian legislation on registration of enterprises - the so-called “anti-raider law” - provide for the duty of the state registrar to determine the scope of civil legal capacity and competence of legal entities and also to verify the authority of a person’s representative to perform registration actions: in practice this may be expressed as a requirement to provide a full set of constituent documents of a foreign company with translation into Ukrainian (previously only an extract from the register was required) together with a copy of the translated power of attorney: in fact, the volume of documents and information requested concerning foreign participants of legal entities when owners are changed and shares are purchased or sold has increased.
Our employees and representatives in the regions have many years of experience working with various European jurisdictions and foreign corporate documents when non-resident companies are used in corporate matters in Ukraine. We have registered more than 5,000 enterprises over more than 20 years of doing business in this field, in various forms of ownership in Ukraine, and we will help you start or develop your business too!
It should be noted that Ukrainian legislation in 2026 provides for an identification procedure for the management of foreign companies and beneficial owners - this matter also takes a minimum amount of time - all companies offered by us meet all requirements for identification of founders by state registrars and commercial banks of Ukraine; we will advise you and help complete all necessary forms when corporate rights (shares in an LLC, shares) are re-registered to a foreign company, and will recommend translation bureaus and notaries.
All constituent documents of non-resident companies for use in Ukraine must be notarised and legalised by apostille. A power of attorney for representation must also be notarised and legalised by apostille. An important point is that the text of the power of attorney must contain the phrases and terms required under Ukrainian legislation that provide for the right to register enterprises (subsidiary companies) and represent interests before Ukrainian notaries on corporate matters. To carry out registration actions, you will additionally need to make a notarised translation of all documents into Ukrainian - we recommend certifying 2-3 copies of the translation at once, because your bank or banks may also request this information with translation after the changes.
Taking into account the specific features of Ukraine, together with our foreign partners we have developed and agreed a special text of a power of attorney that is ideally accepted by all state bodies, notaries and banking institutions for fully conducting business on behalf of a foreign company in Ukraine. A special power of attorney for corporate matters is ordered additionally in accordance with the owner’s wishes and the circumstances of the planned transaction; when it is executed in accordance with the requirements of the notarial system of the jurisdiction, supporting transaction documents with translation into English may be required.
Perhaps you have never previously thought about this issue, depriving yourself of the opportunity to work freely in international markets without worrying about timely payment of taxes and filing of reports - now this is simple and accessible and, taking into account frequent changes in the country’s political and economic policy, more than relevant for every business owner and wealthy person in Ukraine.
Registration of an enterprise - LLC, TOV or individual entrepreneur - and starting your own business in Ukraine - with UBC in only 1-3 days! There is no unambiguously best or unambiguously worst form of enterprise in Ukraine. What matters is what you will do and how and with whom you will conduct your business.
Why is enterprise registration better with UBC? The answer is simple - we have much more practice, resources and opportunities. Registration of an enterprise is the beginning of business. It is important how and with whom you start it. We have helped thousands of successful enterprises in Ukraine start business - we will help you too!
Considering enterprise registration from the point of view of carrying out business activity and taxation regimes - all forms of enterprises are absolutely equal under Ukrainian legislation. Certain specific types of activity - pawnshop operations, commercial activity with securities, banking and insurance activity, etc. - have a range of forms of ownership limited by legislation in which enterprise owners may carry out the corresponding activity.
The essence of the difference between forms of enterprises is exclusively “internal”: the management procedure, relations and liability of founders, mechanisms of control and formation of the charter fund (charter capital), recognisability and the level of consumer confidence in one or another form of ownership, acceptability for state and large corporate customers, etc.
Registration of an enterprise with foreign capital and non-resident founders in Ukraine
When enterprises with foreign capital are created, in most cases (in our practice) such an enterprise is created in the form of a Limited Liability Company (LLC).
This form of enterprise has long been well regulated by Ukrainian legislation and is analogous to existing private limited liability companies and makes it possible to solve ALL typical tasks of a foreign investor in Ukraine (carrying out business activity in Ukraine through a controlled enterprise or with participation of partners from Ukraine, the possibility of receiving and repatriating profit, absence of liability of the foreign founder for the debts of the created enterprise, etc.) and at the same time does not provide for “unnecessary additional formalities” such as issue of shares in a joint-stock company.
It should be noted that Ukrainian legislation on the foreign investment regime provides for one or another set of rules (investment protection, etc.) regardless of the form of the enterprise into which the investment was made, including that these rules apply to a Limited Liability Company. In addition, it should be noted that today Ukrainian legislation no longer provides for such forms of enterprises as “Joint Venture”, “Enterprise with Foreign Capital”, etc., but allows the creation of an LLC with 100% foreign capital owned by one foreign legal entity (the sole founder).
In this connection, many state registrars do not accept documents for registration of an enterprise with foreign capital in the form of a private enterprise.
For individuals - founders who are not citizens of Ukraine, preliminary obtaining of a Ukrainian TIN (individual tax number) is also required, and only after it is obtained is registration of the enterprise and opening of a bank account of a non-resident investor possible.
Ukrainian legislation concerning the mandatory use of accounts of non-resident investors changes every year; in 2026, from May, use of these “transit” accounts is at the discretion of the non-resident and is not mandatory for most investment operations, including payment of the charter capital (fund) of the enterprise or increase of the charter capital (fund).
The choice of a business form as a closed joint-stock company (previously CJSC, now JSC) may be caused by the following considerations: even greater respectability of the organisational and legal form, and the simplicity (compared with an LLC) of selling a part of the business (shares) without any approval from other partners.
In an LLC, a share in the charter fund is, as a rule, transferred with the consent of the other participants by making amendments to the charter documents; the only thing that can be changed is the timing of such approval. In a joint-stock company this is not required, and rights to the enterprise are transferred by disposal of shares).
When choosing an organisational and legal form, the question is sometimes raised whether it is possible to register an Open Joint-Stock Company () or a public joint-stock company (PJSC). It should be noted immediately that the period for creating an Open (public) joint-stock company is at least 4-8 months. Acceleration is impossible (the law provides for a 6-month period for subscription to shares after publication in the press of information about the intention to create ). The most important feature of an Open (public) joint-stock company is the possibility of selling the Company’s shares on a stock exchange.
In all (of the above) forms of enterprises in Ukraine, the founders (participants, shareholders) are not liable for the obligations of the enterprise.
Time limits for registration of a new enterprise and verification of the enterprise name
Depending on the district in Kyiv and the workload of the CNAP, the period is 1-3 business days from the moment the documents and power of attorney are signed before a notary or the online application is submitted. In other regions of Ukraine - on average 5-15 days. Note: when documents for registration of an enterprise are submitted, it is permissible to choose the taxation system immediately or, several days after completion of the registration actions, make this choice: approve the enterprise’s taxation system (general or simplified under the single tax). If this is not done, the enterprise is automatically registered as a corporate profit tax payer on the general basis. Applications may be submitted online using the director’s electronic signature.
It should be noted that verification and selection of the name of your new enterprise at UBC is carried out by our specialists within several minutes; at the same time, we do not limit the number of desired options and do not charge an additional fee. You can also do this yourself and free of charge online using the official database of existing enterprises of Ukraine
