Extract, statement or certificate from the Unified State Register of Ukraine: how to order and obtain a company-register extract and what is required for the order.

Extract from the Register of Ukrainian Companies — this certificate contains the most extensive information on a legal entity or individual as of the date of the request: name, code, location, contacts, director, founders, date of state registration, activities, and who registered it and when. An extract is usually requested by notaries, banks and other institutions for transactions. The extract has no formal expiry date, but in practice the party requesting it usually wants it to have been obtained on the day it is to be presented; in some cases an extract from the company register is treated as valid for 30 days.

Statement from the Register of Ukrainian Companies  — this document replaced the certificate of state registration of an enterprise in Ukraine. A statement from the Unified State Register of Companies usually contains the following information: name, code, location, head of the enterprise (LLC, TOV, private enterprise or sole proprietor) and whether it is in liquidation. A statement from the Register of Ukrainian Companies has no formal expiry date; it is usually requested by banks, is included in tender documentation and may be requested by a licensing authority when obtaining a licence.

Certificate from the Register of Ukrainian Companies — this document lists all registration actions carried out by the state registrar, such as a change of director, change of founders, change of name, and so on.

A more detailed document about a legal entity in Ukraine is an extract from the Unified State Register of Ukrainian Companies. An extract from the Unified State Register is a document issued on a strictly controlled form, each form having its own number and series. The EDRPOU certificate is signed by the state registrar of Ukrainian companies, whose signature is certified by a seal.

To obtain a paper and/or electronic extract from the Unified State Register of Companies for a company in Ukraine that interests you (LLC, TOV, private enterprise, JSC or sole proprietor), you need to provide information about the company:

1) its identification code (company number), which uniquely identifies the company; in Ukraine a company code consists of eight digits.

2) if you do not know the identification code, information is required on the company's location (registered address) and name, as well as any additional information known to you: the director's surname, first name and patronymic and a contact telephone number. This makes it possible to identify the company unambiguously where names fully or partly coincide in the register or where several companies of different legal forms have the same name. 

The extract from the Unified State Register of Companies obtained by us will contain the following information.

For a legal entity — a Ukrainian company such as a TOV, private enterprise, LLC or JSC:

• — company registration details (date and register number);
• — series and number of the state-registration certificate, if one was issued;
• — place of state registration;
• — form of ownership of the legal entity;

• — date by which formation of the charter capital is to be completed;
• — amount of charter capital; director;
• — founders; branches/representative offices (separate structural subdivisions);
• — information on persons authorised to act on behalf of the legal entity without a power of attorney;
• — principal activities;
• — telephone, address, email and website, if such information was provided

For an individual entrepreneur:

• — registration details;
• — series and number of the state-registration certificate, if one was issued;
• — place of state registration;
• — telephone, address, email and website, if such information was provided;
• — information on persons acting on the entrepreneur's behalf;
• — principal activities.

Statement from the Unified State Register of Ukrainian Companies

Under Article 26 of the Law of Ukraine ‘On State Registration of Legal Entities and Individual Entrepreneurs’, a statement is issued to a legal entity or individual entrepreneur within two days after submission of a written request.

The statement is prepared on a strictly controlled form. Each form has its own number and series; the statement is signed by the state registrar, whose signature is certified by a seal. The statement specifies:

• — the name of the legal entity or individual entrepreneur;
• — registered address;
• — surname, first name and patronymic of persons authorised to act on behalf of the legal entity without a power of attorney;
• — any restrictions on representation of the legal entity;
• — date and number of the entry in the Unified State Register;
• — date the statement was issued.

To obtain a paper statement from the Unified State Register, you need to issue a power of attorney in the name of our staff and affix the company seal to the application for the statement if the company uses a seal.
