The Charter Begins with the Programmes and Who Makes Decisions

The law provides for a charitable society, charitable institution and charitable foundation. The founders select the form based on future governance, sources of assets and the persons who will participate in the work. For an organisation with several major programmes and international donors, a board or other collegiate body is determined in advance; for a small project, the structure may be simpler.

The charter establishes the areas of charitable activity, governing bodies, decision-making procedure, use of assets and signatory powers. If the founders plan medical, educational, social and humanitarian work, these areas should be aligned before registration. The first grant or donation will then not require urgent amendment of the constitutional documents.

Roles are best separated: the founders approve the key rules and composition of governing bodies, the manager organises daily work, the accountant records receipts and expenditure, and the person responsible for a programme confirms recipients and the result of assistance. A donor can see who is authorised to receive funds, who spends them and who reports on programme delivery.

For a business owner, a charitable organisation also makes it possible to separate public-benefit activity from the commercial company. The commercial enterprise continues generating profit from sales, while the charitable legal entity separately receives and uses donations for its statutory purpose. This provides cleaner accounting and a clearer model for partners and donors.

Non-Profit Status Is Supported by Rules for the Use of Funds

After state registration, the organisation arranges inclusion in the Register of Non-Profit Institutions and Organisations under the procedure established by the Tax Code and the State Tax Service. Non-profit status depends not only on the wording of the charter: income must be used to maintain the organisation and implement its statutory purposes and areas of activity.

The manager may arrange the receipt of monetary donations, assets, grants and other assistance within the law and the charter. For each targeted fundraising campaign, it is useful to have a purpose, budget, responsible person and a document under which funds or assets are transferred to the recipient. The accountant maintains the link between the receipt, the spending decision, payment and evidence of actual assistance.

For regular financing, the director approves procedures for payments, procurement, conflicts of interest and reporting. The charitable organisation can then show a donor not only a bank statement but the complete chain: who approved the expenditure, under which agreement goods or services were paid for, to whom the result was transferred and what part of the budget remains.

Non-profit reporting reflects donations received, non-repayable assistance and the actual use of assets. Accounting should therefore be organised by programme and funding source from the first day of operations. This saves time when preparing grant reports, undergoing a donor review and compiling annual information.

A Donor Finances a Clear System of Documents and Controls

Before a major grant, a donor usually reviews the charter, governing bodies, bank details, programme budget, signatory powers and previous reporting. It is beneficial for the organisation to keep this package ready at all times. Negotiations with a new donor can then begin with the programme and expected result rather than an urgent search for basic corporate documents.

Humanitarian aid is separately regulated and is not identical to all charitable activity. In July 2026, the Cabinet of Ministers approved a separate procedure for obtaining the status of a verified humanitarian organisation. Not every charitable foundation needs this status; where an organisation intends to use this regime, the manager checks in advance the specific criteria concerning non-profit status, prior activity, employees, internal policies and public information.

For public fundraising, the manager defines the stated purpose, how donors will be informed and how use of the funds will be evidenced. If assistance is transferred to particular individuals, institutions or units, the responsible person prepares documents concerning the recipient and transfer. This discipline increases trust and allows programmes to scale without loss of control.
