LEGAL SUPPORT FOR INVESTMENTS
Legal support for an investment is needed when money is provided in exchange for an ownership interest, corporate rights, a loan or other agreed investor rights. Before documents are signed, the parties should have the same understanding of the investment amount, business valuation, financing procedure, management rights, profit distribution and exit terms.
A lawyer translates these arrangements into corporate and contractual documents that the parties will actually use after the funds are received.
How the Investor Provides Funds and What They Receive in Return
The most common options are a capital contribution, purchase of an interest from an existing owner or a loan to the company. Each option affects ownership, cash flow and future repayment differently. The owners choose the financing method after agreeing the purpose of the investment, its term and the investor's rights.
When the investor enters the capital, the parties determine the business valuation, size of the interest and the decisions in which the investor will participate. If the funds are provided as a loan, the agreement sets the amount, currency, term, interest, security and repayment procedure. In a combined transaction, these elements can be combined if they are clearly documented and comply with tax rules.
The owner should understand how the transaction will affect control of the business. The lawyer explains voting rights, access to information, appointment of the director, payment of dividends and sale of an interest. The investor, in turn, receives documents confirming the investor's rights and the procedure for using the invested funds.
For an investment from abroad, the parties also agree the currency, bank details and documents confirming the basis for payment. The investor prepares information about itself and the source of funds to the extent requested by the bank. The Ukrainian director checks that the payment purpose corresponds to the signed agreement and corporate resolutions.
Business Due Diligence and Key Transaction Terms
Before investing a significant amount, an investor will usually review corporate documents, financial statements, taxes, key contracts, property, trade-mark rights and other material matters. The owner prepares evidence for the facts that affect the price and investment decision. The lawyer determines in advance which documents can be disclosed and which information requires confidentiality protection.
The parties may record the principal commercial terms in a short separate document before the full agreement is prepared. It states the amount, form of investment, valuation, interest, funding procedure, key rights, exit terms and matters still to be agreed. This gives the owner and investor the same understanding of the future transaction.
Once the owner and investor have agreed the investment terms, the lawyer prepares the corporate resolution, interest-purchase agreement, loan agreement, amendments to the charter, corporate agreement and other required documents. They should describe the amount, timing and parties' rights consistently. Any difference between the commercial agreement and the legal text is resolved before funds are transferred.
A corporate agreement is particularly useful when several active owners remain in the business after the investment. The members can agree voting on key matters, access to information, financing, sale of interests and exit rules. The director retains authority for ordinary business operations within the agreed framework.
Completion of the Transaction and Subsequent Business Operations
On the investment date, the parties perform the agreed conditions: sign documents, make the payment, transfer the interest or formalise the capital increase. The director and accountant receive the documents on which the funds and corporate changes are recorded. The owners check that registry information corresponds to the signed transaction.
After the investor enters the business, ordinary company operations should be defined: which decisions the director makes independently, which require member approval, what reporting the investor receives and how the budget is approved. These rules reduce conflict and allow the company to continue selling and hiring without seeking approval for every minor matter.
UBC can support a Ukrainian or foreign investor from the first agreement of terms through registration of changes and delivery of documents to the accountant. The cost depends on the amount, transaction structure, number of owners, state of the documents and scope of business due diligence. The owner receives an agreed investment structure and clear rights for the parties.
Exit terms should be discussed before the funds are invested. The owner and investor determine whether an interest may be sold to another member or a third party, how the interest is valued and what rights other owners have. This gives both parties a clear way to end the investment when the business reaches the required scale or the participants' plans change.
The tax consequences of the transaction should also be assessed before signing. A sale of an interest by an existing owner, a capital contribution and a loan have different legal and tax characteristics. The accountant and tax adviser explain which income, expenses and payments arise under the specific structure. The owner compares the net amount the business actually receives with the rights transferred to the investor.
